LStack is a local-first software execution platform operated by Marc Le Boeuf. It helps users manage AI-assisted development work through a Kanban-style dashboard, configured AI coding workers, and project runtimes.

You are responsible for your account, your local machine or infrastructure, your project files, your credentials, your configured AI/model providers, and any code or software generated, modified, tested, or run through LStack.

LStack may require an account to access the console, beta, product downloads, private features, or other product services. We plan to use Firebase Authentication or related Google services for account creation, login, and access control.

LStack is currently a beta product and may change over time. Features may be added, modified, limited, suspended, or removed as the product develops.

LStack does not currently process payments directly through the website or platform. If paid plans, subscriptions, or billing features are introduced later, they will be governed by updated terms or additional billing terms.

You retain ownership of your projects, code, prompts, files, and software. LStack retains ownership of the LStack platform, software, website, branding, documentation, and related technology.

LStack is provided “as is” and “as available.” AI-assisted development tools can make mistakes, generate insecure code, misunderstand instructions, or produce incomplete results. You are responsible for reviewing, testing, validating, and securing any output before using or deploying it.

You may not use LStack to create malware, attack systems, violate laws, infringe intellectual property rights, abuse infrastructure, or harm others.

1. Welcome & Agreement

These Terms of Service (“Terms”) govern your access to and use of LStack, including the LStack website, console, dashboard, beta programs, software, documentation, and related services.

LStack is operated by Marc Le Boeuf (“LStack,” “we,” “us,” or “our”).

By accessing or using LStack, creating an account, joining a beta, downloading or installing LStack software, or using any related service, you agree to these Terms. If you do not agree to these Terms, you may not use LStack.

These Terms apply together with our Privacy Policy. The Privacy Policy explains how we collect, use, share, and protect personal information.

2. About LStack

LStack is a local-first software execution platform designed to help users manage AI-assisted development work through a Kanban-style dashboard. Users can create projects, define tasks, configure AI coding workers, review progress, and run or inspect software associated with their projects.

LStack is designed so that project code, workers, project runtimes, generated software, logs, secrets, and local execution activity may operate primarily on your own machine or infrastructure, depending on how you configure and use the product.

Some LStack services, such as the website, console, authentication, beta access, account management, documentation, analytics, support, and related online features, may operate through hosted services such as Firebase, Google Cloud services, or other service providers.

LStack may be released gradually. Some features may be experimental, beta-only, incomplete, unavailable, or subject to change.

3. Eligibility

You must be at least 13 years old to use LStack, or older if required by the laws of your country or region.

You must have the legal capacity to enter into these Terms. If you use LStack on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

You may not use LStack if you are prohibited from using the service under applicable law or if we have previously suspended or terminated your access for violating these Terms.

4. Accounts and Access

LStack may require you to create an account to access the console, beta, product downloads, private features, or other product services. We plan to use Firebase Authentication or related Google services for account creation, login, and access control.

You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at support@lstack.ai if you believe your account has been compromised or used without authorization.

You may not share your login credentials, sell or transfer your account, or allow others to use your account in a way that violates these Terms.

We may suspend, limit, or terminate access to your account if we believe your account has been compromised, used unlawfully, used in violation of these Terms, or used in a way that may harm LStack, other users, service providers, or third parties.

5. Beta and Experimental Features

LStack may be offered as a beta, preview, early-access, or experimental product. Beta features may be incomplete, unstable, unavailable, undocumented, or subject to change without notice.

You understand that beta software may contain bugs, may lose data, may produce unexpected results, may fail to operate as intended, and may not be suitable for production use.

You should not rely on beta features for critical systems, production deployments, regulated workloads, emergency uses, or any environment where failure could cause harm, legal exposure, data loss, security issues, or business interruption.

We may add, change, suspend, or remove beta features at any time. We may also limit beta access, require invitations, impose usage limits, or close beta programs.

6. Local-First Execution and Your Responsibilities

LStack is designed to work with local or user-controlled execution resources. Depending on your configuration, your project files, source code, AI worker activity, runtime logs, local containers, environment variables, secrets, generated software, and development outputs may remain on your own machine or infrastructure.

You are responsible for securing and maintaining your own devices, development environments, Docker environments, local networks, credentials, API keys, model/provider accounts, local project files, databases, containers, volumes, ports, and runtime configurations.

You are responsible for deciding what code, prompts, files, data, credentials, or project information you provide to LStack, to AI model providers, to local workers, or to any third-party services you configure.

You should not provide secrets, credentials, private keys, regulated data, confidential data, or sensitive information to LStack, AI workers, third-party providers, or support channels unless you understand the risks and have authority to do so.

You are solely responsible for reviewing, testing, validating, securing, licensing, and approving all code, configuration, documentation, dependencies, commands, containers, services, or other outputs created, modified, suggested, tested, or run through LStack.

7. AI-Generated and AI-Assisted Output

LStack may help route work to AI coding workers, model providers, or other AI-assisted tools that generate, modify, review, test, or explain software.

AI systems can produce incorrect, insecure, incomplete, outdated, biased, infringing, or harmful output. AI systems may misunderstand instructions, hallucinate features, introduce vulnerabilities, delete or overwrite files, generate broken code, or produce output that does not meet your expectations.

You are responsible for all decisions based on AI-assisted output. You must independently review and validate outputs before using them, deploying them, sharing them, or relying on them.

LStack does not guarantee that AI-assisted output will be accurate, secure, lawful, non-infringing, production-ready, or suitable for any particular purpose.

8. Acceptable Use

You agree to use LStack responsibly and lawfully.

You may not use LStack to create, modify, test, deploy, distribute, or assist with malware, ransomware, spyware, credential theft, phishing, botnets, unauthorized access tools, exploit code intended for abuse, destructive automation, or code designed to disrupt, damage, or compromise systems.

You may not use LStack to violate applicable laws, infringe intellectual property rights, invade privacy, harass others, process data without proper authority, bypass security controls, or interfere with networks, services, devices, accounts, or infrastructure.

You may not attempt to gain unauthorized access to LStack, our systems, other users’ accounts, service providers, or third-party systems.

You may not reverse engineer, decompile, disassemble, scrape, copy, modify, or create derivative works of LStack except to the extent expressly permitted by law or by a written agreement with us.

You may not abuse, overload, disrupt, or interfere with the website, console, authentication systems, APIs, infrastructure, analytics, support systems, or other services used to operate LStack.

You may not remove, obscure, or alter proprietary notices, trademarks, copyright notices, or other rights notices associated with LStack.

We may investigate suspected violations and may suspend or terminate access if we believe your use of LStack violates these Terms or creates risk for LStack, users, service providers, or third parties.

9. Your Content and Ownership

As between you and LStack, you retain ownership of your projects, source code, files, prompts, task descriptions, comments, documentation, configurations, generated software, and other content you create or provide through LStack (“Your Content”).

You grant LStack a limited license to host, process, transmit, display, and use Your Content only as reasonably necessary to provide, secure, support, and improve LStack, comply with law, and enforce these Terms.

This license does not give us ownership of Your Content. We do not claim ownership over the software you build using LStack.

You represent that you have all rights necessary to provide Your Content and to use it with LStack. You are responsible for ensuring that Your Content and your use of LStack do not violate laws, licenses, contracts, intellectual property rights, privacy rights, or third-party rights.

10. LStack Ownership

LStack and its related software, website, platform, dashboard, console, APIs, documentation, designs, workflows, interfaces, branding, trademarks, service marks, logos, business names, and underlying technology are owned by Marc Le Boeuf or our licensors.

Except for the limited rights expressly granted to you, these Terms do not transfer any ownership rights in LStack to you.

You may not copy, modify, distribute, sell, lease, sublicense, host, publish, or create derivative works based on LStack unless we give you written permission or the applicable license expressly allows it.

11. Third-Party Services and Providers

LStack may depend on or integrate with third-party services, including Firebase, Google Cloud services, Google Analytics, authentication providers, AI model providers, developer tools, package registries, container tools, operating systems, browsers, email providers, monitoring providers, infrastructure providers, or services you configure yourself.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services, third-party model behavior, third-party outages, third-party data handling, third-party pricing, third-party security incidents, or changes to third-party services.

If you configure LStack to use a local model provider, cloud model provider, API endpoint, container registry, repository, package manager, or other external service, you are responsible for that configuration and for complying with the applicable third-party terms.

12. Payments and Future Paid Features

LStack does not currently process payments directly through the website or platform.

We may introduce paid plans, subscriptions, usage limits, billing features, commercial licenses, or paid support in the future. If we do, those features may be governed by updated Terms, additional billing terms, an order form, a subscription agreement, or other written terms presented at the time of purchase.

Unless and until paid terms are introduced, any references to future paid features are informational only and do not create an obligation for us to provide any particular pricing, plan, feature, or billing structure.

13. Privacy

Your privacy is addressed in our Privacy Policy, which explains what information we collect, how we use it, when we share it, and what rights or choices you may have.

By using LStack, you acknowledge that we may collect and process information as described in the Privacy Policy.

Because LStack is designed as a local-first product, some project data may remain on your own machine or infrastructure and may not be transmitted to us. You are responsible for securing your local environment and deciding what information you submit to LStack, third-party AI providers, support channels, or hosted services.

14. Security

We use reasonable administrative, technical, and organizational safeguards designed to protect LStack and personal information we process.

No service, software, local environment, network, or storage system is completely secure. We cannot guarantee that LStack or any local or third-party environment will be free from unauthorized access, vulnerabilities, data loss, malware, or other security risks.

You are responsible for securing your account, devices, local infrastructure, Docker environments, credentials, secrets, API keys, source code, generated software, dependencies, and deployments.

You must notify us promptly at support@lstack.ai if you discover a vulnerability, security issue, unauthorized account access, or other security concern involving LStack.

15. Disclaimers

LStack is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and error-free operation.

We do not guarantee that LStack will be uninterrupted, secure, available, accurate, complete, compatible with your environment, or free from bugs or harmful components.

We do not guarantee that AI-assisted output will be correct, secure, lawful, non-infringing, production-ready, or suitable for your intended use.

You use LStack, AI-assisted output, local workers, project runtimes, generated code, and third-party services at your own risk.

16. Limitation of Liability

To the maximum extent permitted by law, Marc Le Boeuf, LStack, and our service providers, licensors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, loss of goodwill, service interruption, computer damage, security incidents, or the cost of substitute services.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or LStack will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid to us for LStack in the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations above apply only to the fullest extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Marc Le Boeuf, LStack, and our service providers, licensors, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of LStack, Your Content, your local environment, your generated software, your violation of these Terms, your violation of law, or your violation of third-party rights.

18. Suspension and Termination

You may stop using LStack at any time.

We may suspend, restrict, or terminate your access to LStack at any time if we reasonably believe that you violated these Terms, created risk for LStack or others, used the service unlawfully, abused the platform, compromised security, or caused potential harm.

We may also suspend or discontinue LStack, beta programs, features, accounts, or access if required by law, if a service provider stops supporting a required service, if continuing the service becomes impractical, or if we decide to modify or discontinue the product.

After termination, some provisions of these Terms will continue to apply, including ownership, acceptable use restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, and general legal provisions.

19. Data After Account Closure

If you close your account or your account is terminated, we will handle personal information according to our Privacy Policy.

We may delete, de-identify, or retain information as reasonably necessary to comply with law, maintain security, prevent abuse, resolve disputes, enforce agreements, operate backups, or protect our legal rights.

You are responsible for exporting or preserving any information you need before deleting your account or stopping use of LStack.

Data stored solely on your local machine or infrastructure may remain under your control and may not be deleted by us.

20. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the “Last Updated” date at the top of this page. If we make material changes, we may provide additional notice, such as by email, through the website, or within the service.

Your continued use of LStack after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using LStack.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules.

Before bringing a formal claim, you agree to contact us at support@lstack.ai and attempt to resolve the issue informally. We will attempt to resolve the dispute in good faith.

Unless otherwise required by applicable law, any legal action or proceeding arising out of or relating to these Terms or LStack will be brought in the state or federal courts located in California, and you consent to the jurisdiction and venue of those courts.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief for unauthorized use, security abuse, or intellectual property infringement.

22. General Legal Terms

These Terms, together with the Privacy Policy and any additional terms that apply to specific features, are the entire agreement between you and LStack regarding your use of LStack.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be enforced to the maximum extent permitted by law.

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.

There are no third-party beneficiaries to these Terms unless expressly stated.
